Program Terms & Conditions for Participating Organizations
Effective Date (Your agreement to these terms becomes effective the day of coin publication.)
These Program Terms & Conditions ("Agreement") govern participation in the We're Not Meme'N Around™ initiative ("Program"), operated by WEBJEDININJA ("WEBJEDININJA," "we," "our," or "us").
By participating in the Program, the participating organization ("Organization") acknowledges that it has read, understands, and agrees to these Terms & Conditions.
1. Purpose of the Program
The We're Not Meme'N Around™ Program is designed to provide qualifying organizations with an opportunity to increase public awareness of their mission through a custom community-themed meme coin while participating in a creator revenue sharing program administered by WEBJEDININJA.
The Program is intended as a community engagement initiative. Participation should not be interpreted as an investment opportunity, guarantee of fundraising success, or guarantee of future financial performance.
2. Eligibility
Participation is available only to organizations approved by WEBJEDININJA.
Approval is based upon criteria established by WEBJEDININJA and may include verification of organizational identity, mission, authority to participate, and ownership or authorization to license any submitted branding.
WEBJEDININJA reserves the right to approve or deny any application at its sole discretion.
3. Organization Responsibilities
Participating organizations agree to:
Provide accurate organizational information.
Identify an authorized representative.
Submit only logos, trademarks, and branding they own or are authorized to license.
Cooperate during the design and approval process.
Comply with all applicable federal, state, and local laws.
Organizations remain responsible for their own accounting, tax reporting, fundraising compliance, and regulatory obligations.
4. Coin Ownership
The Organization understands and agrees that the Community Coin is created, managed, administered, and maintained by WEBJEDININJA.
Unless otherwise agreed to in writing:
WEBJEDININJA owns the Community Coin.
WEBJEDININJA owns the smart contract and associated development.
WEBJEDININJA controls publication of the Community Coin.
Participation does not grant the Organization any ownership interest in the Community Coin, blockchain infrastructure, smart contract, or related intellectual property.
5. Revenue Participation
Subject to these Terms, the Organization is eligible to receive five percent (5%) of qualifying creator revenue actually received by WEBJEDININJA that is attributable to the Organization's Community Coin.
Revenue distributions, payment schedules, minimum payout thresholds, and payment methods shall be determined by WEBJEDININJA and may be modified upon reasonable notice.
Participation does not guarantee:
revenue,
donations,
fundraising success,
trading activity,
or future earnings.
6. Branding License
As a condition of participation, the Organization grants WEBJEDININJA a worldwide, non-exclusive license to use the Organization's approved:
name,
logo,
trademarks,
service marks,
slogans,
colors,
branding,
and approved artwork,
solely for purposes relating to the creation, publication, promotion, administration, operation, and historical record of the Organization's Community Coin.
The Organization represents that it possesses all rights necessary to grant this license.
7. Final Design Approval
Before publication, WEBJEDININJA will provide the Organization with the proposed final design of the Community Coin, including applicable branding and identifying elements.
The Organization shall carefully review all submitted materials.
It is the Organization's responsibility to request any desired changes before providing written approval.
Publication will not occur until final approval has been received.
8. Permanent Publication Acknowledgment
The Organization understands and acknowledges that blockchain technology creates permanent public records.
Once the Community Coin has been published:
WEBJEDININJA cannot unilaterally remove, deactivate, delete, or permanently disable the Community Coin from the blockchain.
Historical blockchain records generally cannot be erased or rewritten.
Branding incorporated into the published Community Coin may continue to exist for as long as the Community Coin remains available, transferable, or otherwise exists on the blockchain.
Accordingly, the Organization agrees that final approval is permanent upon publication.
9. Irrevocable License Following Publication
Upon publication of the Community Coin, the Organization acknowledges that the branding incorporated into the published Community Coin cannot practically be withdrawn from existing blockchain records.
Accordingly, the Organization grants WEBJEDININJA an irrevocable license to continue using the approved branding solely in connection with the published Community Coin and its administration for as long as the Community Coin remains in existence on the blockchain.
Nothing in this Agreement transfers ownership of the Organization's trademarks or other intellectual property to WEBJEDININJA.
10. Promotional Rights
WEBJEDININJA may promote participating organizations through its websites, social media, educational materials, and marketing campaigns in connection with the Program.
11. Educational Materials
WEBJEDININJA may provide educational information regarding blockchain technology, digital wallets, cryptocurrencies, and related technologies.
Such materials are provided for informational purposes only and are not financial, legal, tax, or investment advice.
12. Digital Asset Risks
The Organization acknowledges that digital assets involve substantial risks, including but not limited to:
market volatility,
liquidity limitations,
cybersecurity risks,
regulatory changes,
software vulnerabilities,
and third-party platform risks.
The Organization voluntarily elects to participate with full knowledge of these risks.
13. No Investment Advice
WEBJEDININJA does not provide investment advice, securities advice, legal advice, accounting advice, or tax advice.
Organizations are encouraged to consult their own professional advisors before participating.
14. Limitation of Liability
To the fullest extent permitted by applicable law, WEBJEDININJA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from participation in the Program, including losses related to market performance, trading activity, digital assets, or third-party platforms.
15. Indemnification
The Organization agrees to indemnify and hold harmless WEBJEDININJA, its owners, officers, employees, contractors, affiliates, and representatives from claims arising out of:
the Organization's breach of this Agreement,
inaccurate representations,
infringement of intellectual property rights,
or unlawful conduct by the Organization.
16. Modification of the Program
WEBJEDININJA reserves the right to modify, suspend, or discontinue the Program, or portions of the Program, at its discretion.
Any modification shall not affect the permanent publication status of Community Coins that have already been launched or revenues from being disbursed to your organization’s account.
17. Governing Law
This Agreement shall be governed by the laws of the State of California, without regard to its conflict of law principles.
18. Entire Agreement
These Terms & Conditions constitute the entire understanding regarding participation in the Program unless superseded by a separately executed written agreement.
19. Acknowledgment
By participating in the We're Not Meme'N Around™ Program, the Organization acknowledges and agrees that:
It has authority to enter into this Agreement.
It has reviewed and approved the final Community Coin before publication.
It understands that WEBJEDININJA owns and administers the Community Coin.
It understands that once published, the Community Coin cannot be unilaterally removed or deactivated by WEBJEDINJA.
It understands that branding approved for publication may remain associated with the Community Coin for as long as the Community Coin exists on the blockchain.
It grants the licensing rights described in this Agreement.
It understands that participation does not guarantee revenue, fundraising success, donations, or financial returns.
It has had the opportunity to seek independent legal, tax, accounting, and financial advice before participating.
